2009 AT&T Stockholder Proposals (Adobe Acrobat Reader Required)

AT&T Retiree Coalition groups have re-submitted two proposals for the 2009 Annual Stockholders's meeting on April 24 in Dallas. If you receive an AT&T Proxy statement, please vote your shares. Both of these items received over 40% of the votes last year, and given the current economic climate, should be more appealing to stockholders. Read the letter sent in support of the proxy items here (Adobe Acrobat Reader Required). ACER recommends a “FOR” vote on both of these voting items.

• Item No. 8: Advisory Vote on Compensation
  The proposal (submitted by the Association of Ameritech/SBC Retiree) urges the Board to include an advisory resolution proposing that stockholders approve or disapprove the compensation of named executive officers in the proxy statement for each annual meeting of stockholders.
• Item No. 9: Pension Credit Policy
  The proposal (submitted by ACER and SNET RetireesAssociation of Ameritech/SBC Retirees) urges the Board to determine future awards of performance-based compensation for executive officers using a measure of earnings that excludes non-cash “pension credits” that result from projected returns on employee pension fund assets, and to report annually to shareholders on the specific financial performance measure used to award performance pay.

2009 Verizon Stockholder Proposals

From the Association of BellTel Retirees: We urge you to vote contrary to management's recommendation on two important items on Verizon's proxy card for the upcoming Annual Meeting on May 7th in Louisville, KY. We believe that Verizon's Board needs to hear that shareholders want enhanced accountability and compensation policies better aligned with shareholder interests.

• Item 3: Vote AGAINST Approving the Senior Executive Compensation Package
• Item 8: Vote FOR a Policy Separating the Roles of Board Chairman and CEO
